Terms of service
These Terms & Conditions replace all previous Terms & Conditions issued by Kids Racing Ltd Ltd trading as Valley Distribution and come into effect immediately.
- INTERPRETATION. We, us, our, means Kids Racing Ltd (Trading as Valley Distribution), customer, includes you or any company trading with us.
- ENTIRE AGREEMENT. By trading with us, you agree to be bound by these terms and conditions and any changes that may be applied from time to time (as published on this website).
- ORDERING Our order process allows you to check and amend any errors before submitting your order to us. Please check the order carefully before confirming it. You are responsible for ensuring that your order and any specification submitted by you is complete and accurate.After you place an order, you will receive an order confirmation email from us acknowledging that we have received it. Please note that this does not mean that your order has been accepted. Our acceptance of your order takes place when we send the email following payment by BACS at which point the Contract between you and us will come into existence. If we are unable to supply you with the Goods for any reason, we will inform you of this by email and we will not process your order. If you have already paid for the Goods, we will refund you the full amount including any delivery costs charged as soon as possible.
- CARRIAGE and MINIMUM ORDERS. The price of the Goods does not include delivery charges. Our delivery charges are as advised to you during the check-out process, before you confirm your order. Apart from the first order, there is no minimum order value, but a carriage charge will be applied to orders that fall below the carriage levels shown below:
- Mainland UK: £150 & over,
- Channel Islands: £200 & over,
- Isle of Wight: £300 & over,
- Scottish Highlands, Scottish Islands & Northern Ireland: £300 & over, carriage free.
- Republic of Ireland & Isle of Man: £350 & over,
- Orders containing components and a bike will be dispatched together, however additional carriage may be applicable if the components cannot be dispatched in the same box. We reserve the right to contact you should an order incur excessive freight costs, to discuss additional carriage or if the order needs to be refused.
- All customers based outside of England, Scotland, Wales or Isle of Man are required to provide us with their Economic Operators Registration & Identification (EORI) number as this is required for customs clearance purposes. Any charges incurred by us for failed deliveries and subsequent redelivery due to incorrect EORI numbers will be invoiced to you.
- READY BUILT BIKES. Bikes are supplied built to mainland UK but most can be delivered unbuilt on request. All bikes supplied by us require the retailer to carry out a documented and dated PDI (pre-delivery inspection) prior to consumer handover as per current legislation. Failure to follow these terms will void any warranty and liability requirements. Exclusive territories are available for stockists of bike brands. You may be refused the sale of a bicycle or frame if a stockist exists in your area. Please contact us before listing bicycles or framesets online as permission can and may be refused.
- GOODS OUT OF STOCK. When an order is placed, our sales staff can advise availability. If an order balance is not cancelled it will be regarded as an outstanding order. Carriage to ship backorders will be charged at our cost of carriage if less than the carriage paid amount for your territory (see carriage costs pt3), should it not be possible to consolidate back orders with a new carriage paid order. We reserve the right to withhold the supply of or cancel a backorder item if it is not viable for us to dispatch. It is your responsibility to cancel backorder items if no longer required. Special order items once ordered cannot be cancelled with us and will be chargeable.
- PAYMENT. Goods are supplied once a BACS transfer has been completed. Currently we do not offer credit. Our bank details are as stated in invoices. We will not change in the foreseeable future. Should you receive any information or communication to the contrary, please email us immediately so we may take appropriate action. We will not be held responsible for any payments made to a different bank account other than detailed in our invoices and order confirmation email.
- INVOICED PRICES. Invoiced prices are subject to alteration without notice, as are the prices shown on our website at the time of ordering. V.A.T. is chargeable at the current rate.
- DISCOUNTS. Stockist and quantity discounts cannot be used in conjunction with any other offer on the same product.
- LIABILITY. Neither we nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the information and materials found or offered on our website for any particular purpose. You acknowledge that such information and materials may contain inaccuracies or errors and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law. Your use of any information or materials on this website is entirely at your own risk, for which we shall not be liable. It shall be your own responsibility to ensure that any products, services or information available through this website are correct and meet your specific requirements. We will not be responsible for ensuring that the Goods are suitable for your purposes.
- DISPATCH. All orders will be dispatched by courier or post. Under normal trading circumstances, we aim to dispatch orders received before 10am (except bulky items (frames/wheels etc) the same day. We will not be held responsible for goods not delivered in a timely manner due to courier issues or error. Orders will only be sent to the registered customer addresses
- INCORRECT DELIVERIES. These must be notified on the day of receipt of the delivery and, if validated, a credit note will be issued. Payments should not be debited by the customer, nor debit notes raised, since automatic reconciliation is then not possible. Postage for any returned goods supplied incorrectly will be refunded so please claim it at the time. We are not responsible for changes made by customers once they have signed off proofs of customised products.
- NON-DELIVERY. Any queries regarding the non-receipt of despatched consignments must be advised within 3 working days of the date of dispatch. Missing items within a consignment must be reported to ourselves within 5 working days of date of invoice. Customers will have no claim on us after this period.
- DAMAGED CARTONS. A carton that shows evidence of damage or pilferage must be signed for as such when it is delivered otherwise no claim for missing items will be accepted. It is the duty of the customer to advise us immediately with all details.
- OE SUPPLY All Croder items are supplied in retail packaging. All HUP items are supplied in OE packaging.
- DEFECTIVE GOODS AND GOODS REQUIRING SERVICE PARTS. Contact our warranty department immediately as goods will not be accepted back without our prior permission. Goods regarded as defective will be replaced, repaired (or credited) once they have been inspected by us, and the fault is agreed.
- RETURNS. Proof of purchase is required with each return. Products which require repairs or are the subject of warranty inspection must be submitted by dealers not consumers. Spare parts will be used to make items serviceable where possible. Any parts received direct from the public will be returned to process correctly through the supplying retailer. Carriage costs for warranty items must be arranged and paid for by the you, in some cases where incorrect items are sent, or items are damaged on arrival, we will cover the costs of the return through a standard delivery service. As a retailer you are responsible for selling products that are fit for purpose for the end consumers intended use.
- WARRANTY The Goods are intended for use only in the UK. We do not warrant that the Goods comply with the laws, regulations or standards outside the UK. We provide a warranty that on delivery and for a period of 12 months from delivery, Our Goods shall: (a) conform in all material respects with their description; (b) be free from material defects in design, material and workmanship; and (c) be of satisfactory quality and (d) be fit for any purpose held out by us. We will, at our option, repair or replace the defective Goods, or refund the price of the defective Goods in full. We will not be liable for breach of the warranty if (a) you make any further use of the Goods after giving notice to us (b) you alter or repair the Goods without our written consent; (c) the defect arises as a result of fair wear and tear, wilful damage, negligence, or abnormal storage or working conditions; or (d) the Goods differ from their description or specification as a result of changes made to ensure they comply with applicable statutory or regulatory requirements (e) the manufacturer rejects the warranty claim, for whatever reason. These Terms also apply to any repaired or replacement Goods supplied by us to you.
- RETURNED GOODS. Goods may only be returned for the following reasons: a manufacturer’s defect; or a warranty claim; or at our discretion, unwanted stock. All returned Goods will be inspected by us. Goods regarded as defective or faulty will be replaced or credited. We ask that a returns numbers is obtained before products are returned to us. The returns number should be quoted on the outer carton the goods are returned in and on any paperwork or correspondence. A returns number can be obtained by downloading the returns form and emailing it to us at info@valleydistribution.co.uk. We reserve the right to refuse a return that was not formally accepted by us via our online system with our warranty department. We only credit goods that we have supplied. If goods are accepted back, a 15% service charge will be made. Outgoing carriage charges may be deducted from any credit note. Only goods in perfect condition, without any sign of previous ownership, will be accepted. Goods not properly protected or packaged will not be accepted and will be returned with attendant costs.
- TRADEMARKS & INTELLECTUAL PROPERTY. Before using any of our literature, images, logos or extracts from us or our supplier's websites, written agreement must be obtained from us and we reserve the right to impose any conditions on such use. Please note the use of brand logos will only be permitted in original format and colour must not be changed. The right to use literature, images, logos or extracts ceases if your account is closed.
- POINT OF SALE. Any P.O.S supplied by ourselves will remain the property of Kids Racing Ltd. Any damages to the supplied P.O.S are chargeable.
- ONLINE SALES. Brands may be excluded from sale online or subject to geographical restriction. We ask customers to respect our distributor agreements with Suppliers which require us, and our customers, not to sell goods outside the UK and Ireland. Such sales could infringe our agreements, local regulations and patents and we cannot be held commercially liable. Failure to comply may result in a restriction on the supply of goods or closure of your account.
- ONLINE MARKETPLACE. Sale of any of our products on any third-party Online Marketplace is not allowed.
- DEMONSTRATION BIKES. These may be available for stockists of our bike brands. They will only be supplied on receipt of signed documentation and must be returned on the agreed due dates in reasonable order or invoiced at a special reduced price.
- DISCLAIMER. Details such as weights and dimensions are supplied to us from the manufacturer. Restrictions on rider weights and terms of use must be observed.
- LAPSED ACCOUNTS. Any account not used for 1 year will be closed.
- TERMINATION Without limiting any of our other rights, we may suspend the supply or delivery of the Goods to you, or terminate the Contract with immediate effect by giving written notice to you if: (a) you commit a material breach of any term of the Contract and (if such a breach is remediable) fail to remedy that breach within 7 working days of you being notified in writing to do so; (b) you take any step or action in connection with you entering administration, provisional liquidation or any composition or arrangement with your creditors (other than in relation to a solvent restructuring), being wound up (whether voluntarily or by order of the court, unless for the purpose of a solvent restructuring), having a receiver appointed to any of your assets or ceasing to carry on business or, if the step or action is taken in another jurisdiction, in connection with any analogous procedure in the relevant jurisdiction; (c) you suspend, threaten to suspend, cease or threaten to cease to carry on all or a substantial part of your business
- AGREEMENT AND WAIVER. The customer accepts and agrees that any transactions and contracts between us and the customer are governed by these Terms and Conditions and all goods are supplied and accepted on this basis. You warrant that you are not a consumer and that you purchase Goods for onward sale in the course of your business. Any waiver of these Terms and Conditions is entirely at our discretion and must be detailed in writing to be effective.
- DUTIES AND TAXES. All goods are delivered duty unpaid. It is the sole responsibility of the customer to cover any duties or taxes payable on import. Customs declarations made by us are done based on information provided to us by our suppliers. We will not be liable for any claim that the product(s) should have shipped against a different tariff code that incurs a lower duty rate or customs applying higher duties rates. Brexit Addendum Until such time as the company is aware of the level of any Duty levied on imports from the EU, we reserve the right to amend sales prices of any non-delivered goods, subject always to acceptance or cancellation by the customer.
- NON UK DUTIES AND TAXES As the UK is no longer a member of the European Union, duties and taxes may be applicable on goods despatched to Europe. You are responsible for paying these duties & taxes. If charges are applicable, you will be contacted by the courier to pay. If you do not pay within the time period set out, the goods will be returned to us. As a result, extra charges would be incurred. If goods are returned to us because you have chosen not to pay the applicable fees, we reserve the right to charge a 10% handling fee to cover our costs.
